Nominee Director Services in Panama
We coordinate nominee director requests for Panama corporations through a local provider, subject to availability and compliance review. The appointment is a real corporate role with duties, documented authority, and agreed limits.
When a Panama nominee director may help
A nominee arrangement may help a foreign founder establish an agreed board structure or manage a documented transition. For a Panama sociedad anónima (S.A.), Law 32 sets a board minimum of three adult directors. The local provider must confirm the applicable rules and the complete board and officer arrangement.
A nominee appointment does not transfer ownership, remove beneficial-owner disclosure, establish tax residence by itself, or guarantee a bank account. A director cannot simply ignore statutory duties or sign every instruction without review.
Director, shareholder, and registered agent
| Role | Responsibility |
|---|---|
| Nominee director | Board responsibilities within the applicable law and agreed engagement scope. |
| Shareholder | Holds shares and exercises ownership rights; this is separate from a director appointment. |
| Registered agent | The local professional responsible for the registered-agent relationship and related statutory processes. |
What is included
- Review of the business activity, ownership chain, and proposed board arrangement.
- Coordination of provider availability and a written quote before appointment.
- Appointment documentation, authority limits, and the records specified in the engagement letter.
- Agreed duration, renewal terms, and a documented replacement or resignation process.
Limits, indemnity, and insurance
- Day-to-day management, bank signing authority, and transaction approval are excluded unless separately agreed in writing and permitted by law.
- Indemnity and D&O insurance requirements are confirmed for the specific appointment. Insurance is not automatically included.
- Legal opinions, tax planning, secrecy guarantees, and guaranteed approvals are excluded.
- Ownership, source of funds, and intended activities must be disclosed accurately. Higher-risk matters may be declined.
Documents and timing
- Passport or identity document, proof of address, and beneficial-owner details.
- Parent-company incorporation documents, ownership chart, business description, and source-of-funds information where applicable.
- Current corporate documents for an existing company, plus provider forms and any notarisation or apostille requested.
- Timing is confirmed after KYC, provider availability, and document review. A new incorporation, a director replacement, and a bank review follow different schedules.
Pricing and renewal
Panama nominee director services are quoted separately. The quote confirms the number of directors, duration, renewal fees, provider charges, and records or filing costs. The USD 1,500 starting formation package is not a published price for nominee appointments.
Replacement or resignation must be coordinated with the local provider and corporate records. The client must arrange replacement directors and any required filings; an appointment should not end with an undocumented gap in the board.
